Terms of Service

This agreement is between Razoyo, LLC, a Texas limited liability company ("Razoyo", "we", "us"), and the organization we provide Razoyo Insights to ("you", "your"). It covers the Razoyo Insights service, the site at insights.razoyo.com, and the reporting we deliver.

If you have a signed agreement with Razoyo covering Razoyo Insights — a services agreement, a statement of work, or both — that agreement controls wherever it and this one disagree. This one applies on its own terms only where no signed agreement covers the point.

There is no public sign-up for Razoyo Insights, so nobody stumbles into this agreement. We give you these terms and the Privacy Policy while we are setting your reporting up, and you accept them by connecting a QuickBooks Online company. If you do that on behalf of an organization, you confirm you're authorized to bind it.

Simply receiving a report from us does not make you a party to this agreement. The organization that commissioned the reporting is.

Razoyo Insights is not a self-service product. There is no public sign-up, and nobody obtains access by visiting this site. Each client's reporting is arranged, built and operated by Razoyo under a separate engagement, and connections are established through links we issue.

For as long as this agreement is in force, we grant you a limited, non-exclusive, non-transferable, revocable right to access Razoyo Insights and to use the reporting we deliver for your own internal business purposes.

We keep all rights in the service itself — the software, its design, and the methods behind the reporting. Nothing here transfers ownership of any of it to you.

When you connect a QuickBooks Online company, you confirm that you're authorized to grant access to that company's books. We use that access only to read. We request reports and query records, and we never create, edit or delete anything in your books.

Your use of QuickBooks Online remains governed by your own agreement with Intuit. This agreement doesn't change it, and we're not a party to it. You can disconnect Razoyo Insights from inside QuickBooks at any time, which revokes our access immediately.

Connection links we send are single-use and time-limited, and are meant for the person we sent them to. Don't forward one. If you think a link has been misdirected or used by someone it wasn't meant for, tell us and we'll revoke it.

You decide who receives your reporting, and you're responsible for keeping that list current — including telling us when someone leaves. Reporting contains financial detail about your business; treat the recipient list accordingly.

Your accounting data stays yours. You grant us the right to access, store and process it for the sole purpose of building and delivering the reporting you've asked for, and to operate and support the service.

We don't sell your data and we don't share it beyond the service providers we need to run the service. The Privacy Policy sets out exactly what we collect, where it's stored, and how long we keep it, and forms part of this agreement.

Razoyo Insights reports what your QuickBooks books say. It doesn't audit them, and it can't correct them: if a transaction is miscategorized, unreconciled or missing, the reporting will reflect that.

Nothing we deliver is accounting, tax, legal or investment advice, and Razoyo is not acting as your accountant or auditor. You remain responsible for your books, your filings and your decisions. Check the underlying records before relying on any figure for something that matters.

You agree not to:

• resell, sublicense or otherwise make the service available to third parties;
• copy, reverse engineer, or attempt to derive the source code or methods of the service;
• probe, scan, or try to get around any access control, rate limit or security measure;
• scrape or automate access to the site outside the reporting we provide to you;
• connect a QuickBooks company you aren't authorized to connect, or use the service in a way that breaks the law or your agreement with Intuit.

We work to keep reporting running on schedule and monitor the service for failures, but we don't commit to an uptime figure in this document. The service depends on Intuit's API and on our hosting providers, and can be interrupted by either, by maintenance, or by a connection expiring. Any uptime or support commitment you have is the one written into your engagement agreement.

We may change, improve or discontinue parts of the service. If a change materially affects the reporting you receive, we'll tell you.

Fees for Razoyo Insights, if any, are set in your engagement agreement with Razoyo, not here — along with how and when they are invoiced. Nothing on this page creates a charge on its own.

This agreement runs from the day you first connect a company or receive reporting, until either of us ends it.

You can end it at any time by disconnecting Razoyo Insights inside QuickBooks and telling us to stop. We may suspend or end access if you breach these terms, if we're required to, or if we stop offering the service — with reasonable notice where we can give it. Any notice period you have agreed with us separately still applies.

When this agreement ends, your right to use the service ends with it. Handling of data already collected is covered by the Privacy Policy.

To the fullest extent the law allows, Razoyo Insights is provided "as is" and "as available", without warranties of any kind, express or implied — including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.

We don't warrant that the service will be uninterrupted or error-free, or that reporting will be free of defects. Reporting is only ever as accurate as the books it's built from.

To the fullest extent the law allows, neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue or lost data, arising out of or relating to this agreement.

Razoyo's total liability to you, whatever the form of action, is limited to the amount you have actually paid Razoyo for Razoyo Insights. If your signed agreement with us sets a different limit, that one applies instead.

We may update these terms as the service changes. The current version always lives at this URL, with its effective date at the top. If a change materially affects your rights or ours, we will email the client contacts we have on file before it takes effect. Continuing to use the service after that means you accept the updated terms; if you'd rather not, you can end this agreement as described above.

This agreement is governed by the laws of the State of Texas, without regard to its conflict of laws principles. Any dispute arising out of it is brought in the state courts of Denton County, Texas, or in the United States District Court for the Eastern District of Texas, and we each consent to that court's jurisdiction. If your signed agreement with us sets out a different way of resolving disputes, that one applies instead.

This agreement, together with the Privacy Policy and any signed agreement between us, is the whole of what we have agreed about Razoyo Insights, and replaces anything said before it.

Neither of us can assign this agreement without the other's written consent, which neither of us will withhold unreasonably — except that either of us may assign it to whoever acquires substantially all of our business, on written notice.

If a court finds any part of this agreement unenforceable, the rest stays in force and that part is narrowed only as far as it takes to make it enforceable. Not enforcing a term once doesn't waive it later. Neither of us is liable for delays caused by things genuinely outside our control.

Notices under this agreement go in writing to the addresses below, or to the client contacts we have on file for you.
